1. Who these terms are between

These terms are an agreement between your clinic and Supported Health Ltd., a company incorporated in British Columbia, Canada (“Supported”, “we”, “us”).

“You” and “your clinic” mean the business named on your registration. The person who signs confirms that they are authorised to enter into this agreement on the clinic's behalf.

This is a clinic membership. Individual professionals who want to join Supported in their own name do so under the separate Founding Member Agreement.

2. What “Founding Clinic” means

2.1 In one sentence

A Founding Clinic is one of the first clinics to join Supported, before the platform opens to the public. It is a paid membership tier with a fixed number of places, not a partnership, a franchise, an accreditation, or a stake in the company.

2.2 What the status gives your clinic

For as long as your membership is active, being a Founding Clinic means:

  • A Founding Clinic badge on your verified clinic profile, marking you as one of the first clinics to join.
  • A seat at the table. We will invite you to sessions, discussions and product tests, particularly on the clinic and team tools. Your view carries real weight in what we prioritize. Taking part is entirely optional and your membership does not depend on it.
  • A protected price. Your clinic pays less than clinics that join later, on the terms set out in section 4.
  • Early access to new features before they open to everyone.

2.3 What the badge tells families — and what it does not

This matters more than anything else in this section, because families will see the badge and we are responsible for what they take it to mean.

The Founding Clinic badge means one thing: this clinic joined Supported early, and was invited to provide feedback on the design of the platform.

It does not mean, and we will never present it as meaning:

  • that Supported recommends or endorses your clinic or anyone who works there;
  • that your clinic is better, safer or more effective than any other clinic;
  • that your clinic has been assessed on clinical quality, outcomes or approach; or
  • that your clinic or its professionals will appear higher in search results. They will not. Nobody can pay for ranking on Supported.

Wherever the badge appears on a public profile, it will carry a plain-language explanation of what it means, so that no family can mistake it for a recommendation.

2.4 What it is not

Founding Clinic membership does not make your clinic an employee, contractor, agent, partner, franchisee or representative of Supported. You are not authorised to speak for Supported or to enter into anything on its behalf.

It also does not give your clinic any ownership, equity or financial interest in the company. Section 8 sets that out in full.

The words “founding” and “a seat at the table” describe your clinic's part in shaping the product. They are not titles and they are not legal or financial descriptions.

2.5 It belongs to your clinic

Founding Clinic membership belongs to the clinic named on the registration. It cannot be sold, transferred, or lent to another clinic or business.

If your clinic is sold or changes ownership but continues to operate as the same business, the membership continues, provided you tell us within 30 days and the new owner accepts these terms. If the clinic closes, the membership ends and section 5 applies.

Despite any non-transfer provision in the Terms of Service, the membership may continue following a sale or ownership change only as described in this section.

2.6 How many there are

Founding Clinic membership is limited to 10 clinics providing behaviour consultation, occupational therapy, speech-language pathology or physiotherapy to autistic people in British Columbia.

Once those places are taken, the tier closes and later clinics join on the terms available at that time.

2.7 When the status ends

Your Founding Clinic status lasts for as long as your membership is active and your clinic's professionals hold current registration or credentials.

If your membership ends — whether you cancel, or we end it under section 15 — the badge is removed from your clinic profile and the protected price no longer applies.

3. Which clinics can join

To join as a Founding Clinic, your clinic must:

  • operate in British Columbia and provide allied health or support services to autistic people in forms of Behavioural Therapy, Occupational Therapy, Speech-language Therapy, and Physical Therapy ;
  • have at least two practising professionals, each holding current registration or credentials in their discipline;
  • be signing up as itself, through someone authorized to bind the business; and
  • be able to show us proof of registration for each professional it lists.

We may decline or cancel a membership if your clinic does not meet these conditions. If we decline you, we refund you in full.

If we discover after payment that you do not meet these conditions, we may cancel the membership. We will refund you in full unless the application contained information that was deliberately false or misleading.

A clinic may hold a Founding Clinic membership while its professionals also hold individual Founding Memberships. The two are separate: the clinic profile belongs to the clinic, and each professional profile belongs to that professional.

4. What you pay, and when

4.1 The joining fee

Founding Clinic membership costs CAD $499. We charge your card when you sign up. Prices are in Canadian dollars and exclude any applicable taxes.

4.2 What the $499 covers

The $499 covers your clinic's first year of Founding Clinic membership, including your clinic profile and up to 3 professional profiles.

Your first year begins on the day Supported launches to the public — currently planned for 1 November 2026 — and ends 365 days later.

It does not begin on the day you pay. The period between joining and launch is included at no extra cost.

4.3 Professionals beyond the first three

Each professional profile beyond the first 3 costs CAD $15 per month. We bill these monthly from the day Supported launches, or from the day the professional's profile goes live, whichever is later.

You can add or remove professionals at any time. Charges start when a profile goes live and stop at the end of the month in which it is removed.

4.4 After the first year

After your first year, Founding Clinic membership continues at CAD $49 per month for your clinic profile and up to 3 professional profiles, billed monthly, until you cancel. Professionals beyond the first 3 continue at CAD $15 per month each.

We will email you 7 business days before the first monthly payment is taken, including the date and amount.

4.5 How long your protected price lasts

The $49 monthly rate applies for as long as your Founding Clinic membership stays continuously active and your clinic continues to meet the conditions in section 3.

If you cancel your Founding Clinic membership and later rejoin, you rejoin at the rate available at that time.

5. Cancelling and refunds

5.1 Before launch

You may cancel your Founding Clinic membership and receive a full refund any time before launch.

We plan to launch on 1 November 2026. However, because we are a young company, we have given ourselves a three-month grace period in case the date moves.

If Supported has not launched by 1 February 2027, you may cancel and we will refund your $499 in full. You do not need to give a reason. Email info@supported.health and we will process it within 10 business days.

If we are delayed beyond the planned launch date of 1 November 2026, we will inform you and ask whether you would be OK to wait until the new planned launch date — which will not be any later than 1 February 2027. If not, we will refund you.

5.2 If we do not launch at all

At any stage, if we decide not to launch at all, we will contact every Founding Clinic by email and by telephone, and refund every Founding Clinic in full, without anyone having to ask.

5.3 After launch

Once Supported launches, your $499 covers your clinic's first full year of Founding Clinic membership.

If you decide that Founding Clinic membership is not right for your clinic, you may cancel within 90 days of Supported's launch and we will refund your $499 in full. Monthly charges for professionals beyond the first 3 are refunded for any period after cancellation.

After those first 90 days, the $499 is non-refundable. You may still cancel at any time. If you cancel before the end of your first year, you will not be charged the monthly membership fee that would otherwise begin after your first year ends.

At any time, refunds include any taxes paid on the refunded amount and will be processed within 10 business days. Cancellation stops future membership charges. Any charges properly incurred before cancellation remain payable unless this Agreement specifically says they will be refunded.

6. What Founding Clinic membership gets you

For as long as your membership is active, we will provide:

  • a verified clinic profile on Supported, published only with your confirmation;
  • a Founding Clinic badge on that profile;
  • up to 3 professional profiles included, and more at CAD $15 per month each;
  • multi-practitioner and team management tools;
  • clinic-wide analytics, once available — see section 11;
  • early access to new features as we release them; and
  • a direct route to give input on what we build. Taking part is optional.

The Founding Clinic badge stays on your profile for as long as your membership is active. If your membership ends, the badge is removed.

7. What we do not promise

We think it is fairer to be plain about this than to bury it.

  • We do not promise that any family will contact your clinic, or how many will.
  • We do not promise any level of income, referrals, enquiries or bookings.
  • We do not promise a specific launch date. 1 November 2026 is our plan, not a guarantee. Section 5 sets out what happens if it moves.
  • We do not promise that every feature described on the website will exist at launch, or in the form described. Where a feature is not ready, we will say so.
  • We are not a referral service and we do not send work to particular clinics.
  • We do not promise that a professional who leaves your clinic will stop being findable on Supported. Their profile belongs to them — see section 9.

8. Founding Clinic membership is not an investment

Founding Clinic membership is a paid subscription to a service. It is not an investment, a security, a share, a loan, or any other financial instrument.

Paying the $499 does not give your clinic:

  • any ownership of, or shareholding in, the company;
  • any share of revenue, profit, or the proceeds of any sale of the company;
  • any voting right, board seat, or control over how the company is run; or
  • any right to repayment beyond the refund rights in section 5.

The word “founding” and the phrase “a seat at the table” describe your clinic's role in shaping the product. They do not describe a legal or financial interest in the company.

9.1 Every professional confirms their own profile

A clinic cannot publish a professional on Supported. You can invite a professional and prepare their profile, but nothing about them appears publicly until that professional has confirmed it themselves, from their own account.

This is not a formality. It is how Supported works for everyone: we never publish a professional who has not opted in, and paying for a seat does not change that.

9.2 What you confirm when you invite someone

By adding a professional to your clinic's plan, you confirm that:

  • they work at your clinic;
  • they hold current registration or credentials in their discipline;
  • you have their permission to invite them and to give us their name and work contact details for that purpose; and
  • you are not adding anyone who has asked not to be listed.

9.3 The professional's profile belongs to the professional

The content of a professional's profile — their words, their photograph, their approach — belongs to them, not to the clinic. They can edit it, unpublish it, or ask us to remove their personal information at any time, without your approval.

9.4 When a professional leaves your clinic

Tell us, and we will remove them from your clinic's plan. Your seat count and billing adjust from the end of that month.

Their own profile does not disappear. It stops being associated with your clinic, and it is for them to decide whether to keep it on Supported under their own membership. You cannot delete another person's profile.

10. Your clinic profile and information

10.1 You control what is published

Nothing about your clinic appears on Supported until you have confirmed it. We do not copy clinic listings from public registries or other directories.

10.2 You own your content

The words, photographs and materials you put on your clinic profile remain yours. By publishing them you give us permission to display them on Supported and to show them in search results and previews, for as long as your profile is live. That permission ends when your profile comes down.

We may keep information that we are legally required to retain and copies held temporarily in routine backups. We will not use backup copies for any new purpose.

10.3 Keeping it accurate

You are responsible for making sure your clinic profile is accurate, and for telling us within 10 business days when a professional’s registration status changes, including a suspension, a condition on practice, or a lapse in renewal.

10.4 Verification

We check credentials before a profile goes live and periodically afterwards. If a credential expires, lapses, is suspended or is withdrawn, we will take the profile down until the issue is resolved. We may end the membership without a refund if you deliberately provided false information, concealed a change in your registration status, or repeatedly failed to keep your credentials current.

10.5 Taking your profile down

You can unpublish your clinic profile at any time, for any reason, without ending your membership. Email us and we will remove your clinic's information from Supported.

We may keep information that we are legally required to retain and copies held temporarily in routine backups. We will not use backup copies for any new purpose.

11. Clinic-wide analytics

Clinic-wide analytics are not available at launch. Analytics only mean anything once there is enough activity on Supported to produce a reliable picture, so we will switch them on when there is enough data to make them useful. We expect that within the first year after launch, but we cannot promise a date. Your membership price does not depend on analytics, and we will not charge extra for them when they arrive.

When they are available, clinic-wide analytics will show your clinic how it is being found on Supported — for example how often your profiles appeared in searches, which disciplines and locations families were searching for, and how many enquiries you received.

Analytics never include:

  • the identity of a family who searched but did not contact you;
  • any clinical or health information about a child or family; or
  • another clinic's data.

Analytics about an individual professional's profile are shown to that professional as well as to the clinic.

12. How Supported works, and what it will not do

  • There are no star ratings, no rankings and no reviews on Supported.
  • Nobody can pay to appear higher in search results. Paying more does not move you up.
  • Search results are ordered by relevance to what the family is looking for, including distance from their location.
  • We do not give medical or clinical advice, and we do not endorse or recommend any clinic or professional. We present verified facts and let families decide.

13. Your side of the agreement

Your clinic agrees to:

  • give accurate information about the clinic, its professionals and its services;
  • keep registrations and insurance current, as each profession requires;
  • communicate respectfully with families and with other professionals on Supported;
  • follow the advertising and conduct rules of each professional's regulatory college — those rules apply to profiles as much as anywhere else;
  • make sure everyone with access to your clinic account understands these terms; and
  • not misuse the platform, including by scraping it, misrepresenting your services, or using family contact details for anything other than responding to an enquiry.

13.1 Insurance

Your clinic must ensure that each professional it lists holds professional liability insurance appropriate to their discipline for as long as their profile is live, and show us evidence of it when the clinic joins and when we ask. If cover lapses, tell us within 10 business days and we will unpublish the affected profile until it is back in place.

14. Privacy

We handle personal information in accordance with applicable privacy laws, including British Columbia’s Personal Information Protection Act and, where applicable, Canada’s PIPEDA. Our Privacy Policy explains what we collect, why, and how long we keep it. It forms part of these terms.

Families' contact details reach your clinic only when a family chooses to contact you. You may use them to respond to that enquiry and to provide care. You may not add them to a marketing list without their separate, express consent.

Where your clinic gives us personal information about your professionals, you confirm you have their consent to do so, as set out in section 9.

15. Suspending or ending a membership

15.1 By you

You can cancel at any time by emailing us. Section 5 explains what happens to your money.

15.2 By us

We may suspend or end a membership if your clinic seriously or repeatedly breaches these terms — for example, by providing false credentials, listing a professional without their consent, misusing family information, or conduct that puts families at risk. Where it is reasonable to do so, we will tell you what the problem is and give you a chance to put it right first.

If we end your membership because your clinic breached these terms, fees already paid are non-refundable.

If we end your membership for reasons unrelated to any breach or misconduct by your clinic, we will refund the unused portion of your first-year membership fee on a prorated basis, and you will not be charged any further membership fees.

If your clinic's membership ends, your professionals' own profiles are not affected. See section 9.4.

16. Changes to these terms

We may need to update these terms. If a change materially affects what your clinic is getting or what it pays, we will email you at least 15 days before it takes effect.

If we materially remove an important paid benefit and do not provide a reasonably similar replacement, you may cancel. If this happens during your first year, we will refund the unused portion of your first-year fee on a prorated basis.

If you do not accept the change, you may cancel before the change takes effect. You will not be charged any future membership fees.

If the change occurs within the first 90 days after Supported launches, your refund rights under section 5.3 still apply.

Your protected price is governed separately by section 4. A change to these terms does not change your protected rate.

17. Liability

The liability provisions in section 14 of the Supported Terms of Service apply to this Agreement. Your clinic remains responsible for its services, profile information, professional obligations, and the advice, treatment and conduct of the professionals working through the clinic.

17.1 If a claim arises from your clinic's profiles or its practice

Your clinic is responsible for what it publishes on Supported and for the care its professionals provide. If someone brings a claim against Supported because of your clinic's profile content, the credentials it gave us, the care provided, or its use of a family's contact details, your clinic will cover our reasonable costs and any amount we are ordered or agree to pay.

This does not apply where the claim was caused by our own error, and it does not apply to anything we did wrong. We will tell your clinic promptly about any such claim, let it take part in how it is handled, and not settle it without talking to your clinic first.

18. General

This Agreement, the Supported Terms of Service and the Privacy Policy form the entire agreement between you and Supported. If they say different things about Founding Clinic Membership, this Agreement applies.

They are governed by the laws of British Columbia and the federal laws of Canada that apply there. The courts of British Columbia have jurisdiction.

If any part of these terms is found to be unenforceable, the rest continues to apply.
