Early Adopter Clinic Agreement

1. Who these terms are between

These terms are an agreement between Supported Health Ltd., a company incorporated in British Columbia, Canada (‘Supported’, ‘we’, ‘us’), and the clinic or other legal entity identified at reservation (‘clinic’, ‘you’). The person completing the reservation confirms that they are authorized to bind the clinic.

Early Adopter Clinic membership is a clinic product. Individual Founding Memberships and individual Early Adopter memberships are separate products with separate terms.

2. What Early Adopter Clinic membership means

An Early Adopter Clinic is a clinic that reserves a place before Supported launches and joins on the introductory price in section 4. It is a paid membership tier, not a partnership, endorsement, qualification, investment or ownership interest in Supported.

While the membership remains active, the clinic profile may display ‘Early Supporter’ status showing that the clinic joined before launch. It does not mean that Supported recommends the clinic, has assessed the quality of its care, or gives it a higher search position. It is not the Founding Clinic badge and does not include Founding Clinic benefits.

The membership and introductory price belong to the clinic legal entity that reserved them. They cannot be transferred to another clinic or owner without Supported’s written consent. If the clinic cancels and later rejoins, the price available at that later time applies.

3. Who can join

The clinic must provide eligible allied health or autism support services to people in British Columbia. Each professional profile must relate to a real professional who has agreed to be listed and holds the registration or credentials required for their discipline.

We may decline or cancel a reservation if these conditions are not met. If we discover after charging the clinic that it was not eligible, we will refund that charge unless the application contained deliberately false or misleading information.

4. Reservation, charges and automatic renewal

4.1 Nothing is charged today

Reserving an Early Adopter Clinic place costs CAD $0 today. The clinic provides and saves a payment method for future membership charges. A reservation does not start a paid membership before launch.

4.2 Charges begin at launch

We will email the clinic at least 7 days before the first charge with the launch date, amount and cancellation instructions. Unless the clinic cancels before that charge, it authorizes Supported to charge CAD $49 plus applicable taxes to its saved payment method on the launch date and monthly thereafter for the first 12 monthly billing periods.

‘Launch’ means the date Supported first makes its searchable professional directory generally available to families in British Columbia. The launch is currently planned for 1 November 2026, but that date is not guaranteed.

4.3 Automatic renewal after the first year

After the first 12 monthly billing periods, the membership automatically continues at CAD $99 per month plus applicable taxes until the clinic cancels. We will email the clinic at least 7 days before the first $99 charge with its date and amount.

4.4 Included and additional professional profiles

The membership includes the clinic profile and up to 3 professional profiles. Each additional professional profile costs CAD $15 per month plus applicable taxes. Additional profiles selected before launch begin billing at launch. A profile added later begins billing when it is activated and continues monthly until removed or the clinic membership ends. Removing an additional profile stops future charges for that profile at the end of its current billing period.

4.5 Failed payments

If a payment fails, we may retry it and ask the clinic to update its payment method. We may pause or unpublish clinic and professional profiles until payment is made. We will not charge a late fee unless we provide advance notice and the law permits it.

5. Cancellation and refunds

The clinic may cancel at any time and has no fixed-term commitment.

Before launch, cancellation ends the reservation and no membership fee will be charged. After launch, cancellation takes effect at the end of the monthly billing period already paid for. The profiles remain available until then unless the clinic asks us to unpublish them sooner, and no further membership charge will be taken.

Monthly fees already charged are non-refundable, except where required by law or where this Agreement expressly provides otherwise. If we charge the clinic after a cancellation was properly submitted before the billing date, we will refund that charge, including related taxes, within 10 business days.

6. What the membership includes

The membership includes a credential-first clinic profile, up to 3 professional profiles, multi-practitioner and team-management tools, clinic-wide analytics, and Early Supporter status while the membership remains active. Every professional must confirm their own profile before it is published.

Features may evolve as Supported develops. Payment level never determines search position.

7. What we do not promise

We do not promise a specific number of enquiries, clients, bookings or any level of income. We do not endorse or refer families to particular clinics or professionals. The planned launch date is not guaranteed, and some features described before launch may change or may not be available at launch.

8. This is not an investment

Early Adopter Clinic membership is a subscription to a service. It is not an investment, security, share, loan or ownership interest. It gives the clinic no revenue share, voting right, board seat or control over Supported.

9. Clinic and professional profiles

The clinic is responsible for the accuracy of its clinic profile and information it supplies about its professionals. A professional profile is not published until that professional confirms it. The clinic must promptly update changes to its services, locations, team and credentials.

The clinic must tell us within 10 business days if a listed professional’s registration status changes. We may unpublish a profile if a credential expires, lapses, is suspended, is withdrawn, or cannot be verified.

10. The clinic’s obligations

The clinic must provide accurate information, ensure that every listed professional has agreed to be listed, follow applicable professional and advertising obligations, protect family information, and use family contact details only to respond to the family’s enquiry or provide care.

The clinic must ensure that each listed professional holds professional liability insurance appropriate to their discipline while their profile is live and provide evidence when the clinic joins and when we reasonably request it.

11. Privacy

We handle personal information under applicable privacy laws, including British Columbia’s Personal Information Protection Act and, where applicable, Canada’s PIPEDA. Our Privacy Policy explains what we collect, why, how long we keep it, and available choices. It forms part of this Agreement.

12. Suspending or ending the membership

The clinic may cancel under section 5. We may suspend or end a membership for a serious or repeated breach, including false credentials, listing someone without consent, misuse of family information, non-payment, or conduct that puts families at risk. Where reasonable, we will first explain the problem and allow the clinic to correct it.

If we end the membership for reasons unrelated to the clinic’s breach or misconduct, we will refund any prepaid unused portion of the current monthly billing period on a prorated basis and stop future charges.

13. Changes to these terms or the service

If a change materially affects what the clinic receives or pays, we will give at least 15 days’ notice. The $49 rate for the first 12 monthly billing periods, the $99 monthly renewal rate, and the $15 additional-profile rate will not be increased during those stated periods without the clinic’s express agreement. If the clinic does not accept another material change, it may cancel before the change takes effect and will not be charged again.

14. Liability

Section 14 of the Supported Terms of Service applies to this Agreement. The clinic remains responsible for its practice, professional services, advice, treatment, profile information and interactions with families.

If someone brings a claim against Supported because of the clinic’s profile content, supplied credentials, care provided by its professionals, or misuse of a family’s contact details, the clinic will cover our reasonable costs and any amount we are ordered or agree to pay, except to the extent the claim was caused by Supported’s own error or wrongdoing. We will notify the clinic promptly, allow it to participate in handling the claim, and consult it before settling.

15. General

This Agreement, the Supported Terms of Service and the Privacy Policy form the entire agreement between the clinic and Supported. If they conflict about Early Adopter Clinic membership, this Agreement applies.

They are governed by the laws of British Columbia and the federal laws of Canada that apply there. The courts of British Columbia have jurisdiction. If one provision is unenforceable, the rest continues to apply.
